Terms of Service
General Introduction
These Terms and Conditions (hereafter referred to as the ‘T&C’) constitute and govern the relationship between the ‘Company’ and all Users (the Sending Party and the Receiving Party) who access the MatchPay platform (defined hereunder and referred to as the ‘Application’) and make use of its features and contents in any manner.
Collectively, the Sending Party (the User offering the trade) and the Receiving Party (the User accepting the trade), shall be referred to as the ‘Users’. Collectively the Company and all Participants shall be referred to as the ‘Parties’.
The use of any or all of the features and services offered by the Company on the MatchPay platform (hereafter referred to as simply ‘MatchPay’) and the information, materials and links contained therein, is subject to the T&C as set out below. Unless otherwise agreed by the Company in writing, the T&C constitute the entire relationship between the Company and all Participants in its use of the MatchPay platform including any or all of its functions offered.
Acceptance of the Terms of Service
Participants have the duty to read carefully and understand the T&C before using MatchPay. Users who has viewed the Website is considered to have read, understood and agreed to be bound by the T&C, without the need for any further act or consideration.
The Company recommends that the Participants read carefully the contents of these pages regularly. By using MatchPay, the Participants agree to be bound by the T&C, as well as by the latest modifications to them, regardless of whether in fact the Participants are aware of such modifications.
The Company reserves the right to update and/or modify the T&C at any time without prior notice to the Users. The User’s continued use of the Application following any such change constitutes an unconditional agreement to follow and be bound by these T&C as changed. For this reason, the Company encourages Participants to review these T&C whenever accessing the Application.
The Company is under no obligation to further verify that all Participants using the Application according to the last updated T&C. The effective version of T&C is that which is posted on the Website.
Indemnification & Limited Liability
The Users agree to indemnify, defend and hold harmless the Company, website, the application, employees, affiliates and other related entities, agents and representatives from and against any claim or demand, including reasonable attorneys’ fees, arising out of the usage of the MatchPay platform.
Participants unconditionally understand and agree that the Company shall not be liable for any direct, indirect, incidental, special or consequential damages, including (but not limited to) damages for loss of profits and/or intangible losses resulting from the use or inability to use MatchPay – even in the event that such damages were foreseeable or if the Company has been advised of the possibilities.
The Users are solely and exclusively responsible and accountable for all or any (and without limitation) communication, agreement or trade involving and/or arising from the usage of MatchPay.
The Company will not be held responsible or accountable for any arrangement, settlement, agreement and any interception of communication between Users that may arise from the usage of MatchPay.
For the avoidance of doubt, the Company is not responsible for any decision, action made or taken by a Participant, based on their visit to the platform or the information obtained therein.
Participants are fully liable for any mistakes, losses or damages (against himself, the Company, or any third-party arising from the provision of incorrect, inaccurate or falsified information. Likewise, in other cases, Participants are solely responsible for the accuracy and correctness of any and all information inserted on the platform (including, but not limited to), information provided during a chat session for the purpose of a trade.
Users are solely responsible for maintaining the confidentiality of any password and account and for any activities and/or trade that occur under its account. The Company shall not be liable to any person for any loss or damage which may arise as a result of any failure a Participant to protect a password and/or account.
It is, in the sole discretion of the Company and at any time without notice, to remove, amend or restrict the option of the MatchPay – whether it be on the part of the Sending Party or the Receiving Party
Restriction & Termination
The Company, in its sole discretion and absolute right, may limit, restrict and/or terminate your access and/or use of the services it offers. For any reason, including, without limitation, for lack of use or if the Company believes that you have violated or acted inconsistently with the T&C. The Company reserves the right to terminate or suspend any access of the site – whether it be part or whole and without notice or detailed explanation. The Company, in its sole discretion, may limit, reduce and/or increase the number of trades permitted for the User to engage at any given time.
The Company, also in its sole discretion and at any time may discontinue providing the MatchPay platform and the services offered, or any part thereof, with or without notice. You agree that any termination of your access to MatchPay under any provision of this T&C may be effected without prior notice, and acknowledge and agree that the Company may immediately deactivate and/or delete your password and any access.
If we have reasonable cause to believe that any credits traded between users is used or derived from suspicious, criminal or unlawful activities – Matchpay, in its sole discretion may (but not limited to) retract and/or seize any or all credits from either User. Additionally, we expressively reserve the right to initiate civil legal proceedings and report such activities to authorities in support of criminal investigations and charges, as appropriate.
Dormant Accounts
If after eighteen (18) months you have not made a credit in, a credit out, initiated and/or participated in a trade or have not responded to any of our prior communications via the email address registered to the account, your account will be considered dormant.
At seventeen months of inactivity, we will provide a final notice via the email address registered to the account, advising that the account credits will be transferred back to the originating Merchant as of thirty (30) days from when the notice was sent. If the account remains dormant, at 18 months of inactivity, the account credits will be transferred back to the originating Merchant. Once the account credits have successfully reached the noted destination, all credits will be subject to the Merchant’s Terms of Service and may be equally subject to:
- Verification processes;
- Restrictions to the MatchPay platform by the Merchant
- Any other restriction under the Merchant’s Terms of Service
It is understood, without condition, when you access the Merchant’s site (or any other platform) you affirm your full acceptance to the most recently amended Terms of Services, whether or not you are advised of any changes.
You recognize and accept that the MatchPay platform was not built with your specific requirements in mind and is intended to be used as outlined and instructed on the site. Additionally, you understand and accept that MatchPay is not liable for any loss, damage, discrepancy and/or delay incurred as a result of the transfer. It is your sole responsibility to ensure the account to which the credit is being transferred to is in appropriate standing as per the Merchant’s Terms of Service.
Eligibility & Registration
In consideration of your registration and by accepting the T&C, you represent that you are at least eighteen (18) years of age (or the legal age of majority in your jurisdiction, if greater) and you have the legal authority to enter and engage in the Company’s services which includes (but not limited to) access to MatchPay.
Participants must first register on the website by creating a user account. An account will only be issued once you have provided all necessary information required for registration and the information has been examined according to the applicable legal requirements placed upon us by the authorities. You will only be permitted to register and have access to only one account. Users registering and/or accessing multiple accounts will be subject to immediate termination. You also hereby agree to provide true, accurate, current, and verifiable information about yourself as required by the Company’s registration page.
If you provide any information or we have reasonable grounds to suspect that information you provided is untrue, inaccurate, not current, invalid or incomplete, we reserve the right to suspend and/or terminate your account and refuse any and all current or future use of the MatchPay platform or any portion thereof.
Additionally, you are solely responsible for maintaining adequate security and control of your account, password, verification code or any other code or credential that may be required for you to use and/or access the services. You have the right to delete your account and to terminate this Agreement at any time. You are responsible for all the obligations which have arisen up until the termination.
Identity Verification
It is of the Company’s upmost importance and priority that MatchPay be a secure and trustworthy platform for all Participants in which we comply with all required legal obligations. It is at the Company’s sole discretion to conduct their due diligence and KYC (know your client) protocols at any time in order to authenticate a Participant’s individuality. This may include but not limited to, requesting government-issued documentation to validate a Participant’s identity. The verification process may be extended in certain cases in order to verify source of funds deposited to/from your account.
If need be, the Company reserves the absolute right to use third party verification services to authenticate your account information and identity, and you expressly acknowledge and agree that we may confirm the accuracy of any information you submit against government-issued ID.
Code of Conduct
A Participant’s behavior and the content that he/she may add during an exchange of information for the purpose of a trade is imperative as the Company expects all Users to conduct themselves in the appropriate and civil manner for the purpose of a smooth trade.
You agree that in connection with the usage of MatchPay and the services it offers, you will abide by the following rules noted below:
- You will not post any messages and/or communications that harass, insult, belittle or threaten the Company and/or another Participant. Abusive and inappropriate behavior will not be tolerated and your account may be suspended and/or terminated;
- You will not be allowed to ‘spam’ on any of MatchPay’s platform. Advertisements, promotions, articles, links and banners which are not authorized by the Company are not permitted anywhere on MatchPay. Announcements and any ‘spam’ for commercial use will not be tolerated and removed – which may lead to the account suspended and/or terminated;
- You will not exploit the platform offered by the Company to promote your or any personal and/or commercial agenda;
- You are not permitted to post or ‘frame’ any link for the purpose of any or part of a sponsorship, advertising and/or commercial text or promotion;
- Should the Company become aware, or have reasonable suspicion that a Participant is conducting unlawful activities, or otherwise (including but not limited) breaking applicable laws and regulations – will be reported to the relevant authorities, and its access may be restricted until further notice or terminated;
Changes to the Terms and Conditions
The Company reserves the right to update and change the T&C from time to time without notice or acceptance by the Users. We strongly suggest you monitor this page frequently for updates and changes. The Participant’s continued use signifies the acceptance to any change in this policy.
Communication
It is possible that at any given time, Matchplay may require to communicate with its Users via the email registered on file or other permitted channels in order to update, advise, promote and/or notify of news, changes, amendments and/or promotions regarding the Application. Additionally, you may receive updates and/or alerts regarding your trade during or after the process is completed.
Amendments
The Company reserves the right to update, change, alter, modify and amend the T&C from time to time without notice or acceptance by you. Any such change to the T&C will be cited with the appropriate date located on the same page.
As mentioned prior, we strongly suggest that you frequently visit and review the T&C as your continued use of the Application and the services offered signifies your acceptance to any update, change and/or modification made to the ToS.
